2. Service Description

Dashlane provides password management and digital security services including but not limited to:

• Secure password storage and management
• Password generation and auto-fill capabilities
• Dark web monitoring and security alerts
• VPN services for secure browsing
• Digital wallet for payment and personal information
• Cross-platform synchronization across devices

We reserve the right to modify, suspend, or discontinue any part of our Services at any time without prior notice.

3. Account Registration

3.1 Account Creation

To use our Services, you must register for an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials.

3.2 Account Security

You are solely responsible for:

• Maintaining the confidentiality of your master password
• All activities that occur under your account
• Immediately notifying us of any unauthorized use of your account
• Ensuring that you exit from your account at the end of each session

3.3 Account Eligibility

You must be at least 16 years old to use our Services. By using our Services, you represent and warrant that you meet this age requirement.

4. Subscription and Payment

4.1 Subscription Plans

Dashlane offers various subscription plans including Free, Premium, Family, and Business plans. Details of each plan are available on our website.

4.2 Payment Terms

By subscribing to a paid plan, you agree to:

• Pay all applicable fees for the selected subscription
• Authorize us to charge your chosen payment method
• Maintain accurate billing information

4.3 Automatic Renewal

Paid subscriptions automatically renew at the end of each billing period unless canceled before the renewal date. You may cancel auto-renewal at any time through your account settings.

4.4 Price Changes

We reserve the right to change subscription fees at any time. We will provide at least 30 days notice of any price changes. Continued use of the Services after a price change constitutes acceptance of the new pricing.

Dashlane employs zero-knowledge architecture, meaning we cannot access your encrypted data. You are solely responsible for maintaining the confidentiality of your master password.

8. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

WE DO NOT WARRANT THAT:

• THE SERVICES WILL MEET YOUR REQUIREMENTS
• THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE
• THE RESULTS OBTAINED FROM USING THE SERVICES WILL BE ACCURATE OR RELIABLE
• ANY ERRORS IN THE SERVICES WILL BE CORRECTED

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DASHLANE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• YOUR USE OR INABILITY TO USE THE SERVICES
• ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS AND/OR ANY PERSONAL INFORMATION STORED THEREIN
• ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICES
• ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE THAT MAY BE TRANSMITTED TO OR THROUGH OUR SERVICES
• ANY ERRORS OR OMISSIONS IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE INCURRED AS A RESULT OF THE USE OF ANY CONTENT POSTED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE THROUGH THE SERVICES

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

10. Indemnification

You agree to defend, indemnify, and hold harmless Dashlane, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with:

• Your access to or use of the Services
• Your violation of these Terms
• Your violation of any third-party right, including any intellectual property or privacy right
• Any content you submit, post, or transmit through the Services

11. Termination

11.1 By You

You may terminate your account at any time by following the cancellation procedures in your account settings.

11.2 By Us

We may suspend or terminate your access to the Services immediately, without prior notice or liability, for any reason, including but not limited to:

• Breach of these Terms
• Non-payment of fees
• Illegal or fraudulent use of the Services
• Actions that may cause harm to us or other users

11.3 Effect of Termination

Upon termination, your right to use the Services will immediately cease. We may delete your account data in accordance with our data retention policies.

12. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Wilmington, Delaware.

13. Dispute Resolution

13.1 Informal Resolution

Before filing a claim, you agree to try to resolve the dispute informally by contacting us at legal@dashlanesecurityblog.com.

13.2 Arbitration

Any disputes that cannot be resolved informally shall be resolved through binding arbitration in accordance with the American Arbitration Association's commercial arbitration rules.

13.3 Class Action Waiver

You agree to resolve disputes on an individual basis and waive any right to participate in class actions, class arbitrations, or representative actions.

14. Changes to Terms

We shall not be liable for any failure to perform due to causes beyond our reasonable control.
